On behalf of the board of directors of Azam Jaya, Berjaya Securities Sdn Bhd (formerly known as Inter-Pacific Securities Sdn Bhd) wishes to announce that the Company proposes to undertake the following:

(i) proposed private placement of up to 100,000,000 new ordinary shares of Azam Jaya Berhad ("Shares"), representing up to 20% of the total existing number of issued Shares to independent third-party investor(s) to be identified later at an issue price to be determined later ("Proposed Private Placement"); and

(ii) proposed establishment of an employees' share option scheme involving up to 10% of the total number of issued shares of the Company (excluding treasury shares, if any) for eligible Directors and employees of the Company and its subsidiaries ("Proposed ESOS").
