We refer to the announcements dated 12 February 2025 and 14 February 2025 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.


On behalf of the Board, TA Securities wishes to announce that Bursa Securities has, vide its letter dated 25 July 2025, resolved to approve the following:


(i)        admission to the Official List of Bursa Securities and the listing of and quotation for up to 1,210,193,882 Warrants to be issued pursuant to the Proposed Rights Issue with Warrants;


(ii)       listing of and quotation for up to 2,420,387,764 Rights Shares to be issued pursuant to the Proposed Rights Issue with Warrants; and


(iii)      listing of and quotation for up to 1,210,193,882 new Revenue Shares to be issued arising from the exercise of the Warrants.


The approval by Bursa Securities is subject to the following conditions:


(i)        Revenue and TA Securities must fully comply with the relevant provisions under the Main LR pertaining to the implementation of the Proposed Rights Issue with Warrants;


(ii)       Revenue and TA Securities to inform Bursa Securities upon completion of the Proposed Rights Issue with Warrants;


(iii)       Revenue and TA Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue with Warrants is completed;


(iv)       Revenue and TA Securities are required to provide written confirmation that the terms of the Warrants are in compliance with Paragraph 6.54(3) of the Main LR;


(v)        Revenue to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders of the Company in general meeting approving the Proposals;


(vi)       Revenue must ensure compliance with public shareholding spread requirements pursuant to Paragraph 8.02(1) of the Main LR upon completion of the Proposed Rights Issue with Warrants;


(vii)      Revenue must observe and ensure full compliance with Paragraph 6.50 of the Main LR at all times;


(viii)      Revenue to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the Warrants as at the end of each quarter together with a detailed computation of listing fees payable; and


(ix)        Additional listing fee payable based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable (where applicable).
