Reference is made to the Company's announcements dated 8 January 2025, 10 January 2025, 17 January 2025 and 19 March 2025 in relation to the development of the Project ("Previous Announcements"). Unless otherwise stated, all abbreviations used in this announcement shall have the same meaning as defined in the Previous Announcements.

1. INTRODUCTION

The Board of Directors of Unique Fire is pleased to announce that its indirect 60%-owned subsidiary, Unique HEB Energy Sdn. Bhd. [Registration No. 202501002731 (1604144-T)] (“SPV”), a special-purpose joint venture vehicle incorporated by Unique Green Energy Sdn. Bhd., a wholly-owned subsidiary of the Company, and HEB Energy Sdn. Bhd. [Registration No. 202001004301 (1360621-A)] (“HEBE”), a wholly-owned subsidiary of HSS Engineers Berhad, had issued a LOA to Samaiden Sdn. Bhd. [Registration No. 201301016493 (1046326-H)] (“Samaiden”) to undertake, amongst others, the EPCC works in relation to the development of the large scale solar photovoltaic plant of 95 MWac in Hilir Perak, Perak Darul Ridzuan (“the Project”).

2. SALIENT TERMS OF THE LOA

The salient terms of the LOA are as follows:-

a. The EPCC scope of work includes the design, engineering, procurement, construction, testing and commissioning of the Large Scale Solar Photovoltaic power plant with the established capacity of 95 MWac (“Works”).

b. The contract sum for the Project is RM290,000,000.00 (Ringgit Malaysia Two Hundred and Ninety Million only) which shall consist of a Supply Agreement and a Construction Agreement.

c. The commencement of the Works shall be upon the signing of the LOA i.e., 28 August 2025.

d. The SPV and Samaiden shall within sixty (60) days from the acceptance of the LOA or such other extended date as may be mutually agreed, enter into an EPCC Contract (Supply Agreement and Construction Agreement). 

3. INFORMATION OF SAMAIDEN

Samaiden is a private company incorporated in Malaysia and is principally engaged in engineering, procurement, construction and commissioning of solar photovoltaic systems and power plants, and provision of operation and maintenance services. Presently, Samaiden is a wholly-owned subsidiary of Samaiden Group Berhad, a public company listed on the Main Market of Bursa Malaysia Securities Berhad. 

Any material developments in relation to the Project will be announced in due course.
