The Board of Directors of Lebtech Berhad (“the Company”) wishes to announce that its wholly owned subsidiary, Lebtech Construction Sdn. Bhd. (“LCSB”) has on 29 August 2025 accepted a Letter of Award (“LOA”) from Lebar Daun Development Sdn. Bhd. (“LDD”), a related party, for the appointment of LCSB as the Main Contractor for the construction of residential units at Shah Alam, Selangor.

1.DETAILS OF THE RELATED PARTY TRANSACTION

• Employer (Related Party): Lebar Daun Development Sdn. Bhd.
• Contractor (Subsidiary): Lebtech Construction Sdn. Bhd.
• Nature of Transaction: Award of construction contract.
• Project Title: Proposed construction of 54 units of houses comprising:20 units double-storey semi-detached (Type A, 50’ x 80’),32 units double-storey semi-detached (Type B, 40’ x 90’),2 units semi-detached (Type C, 50’ x 80’) at Fasa 24A & 9B, PT 445, Section 13, Shah Alam, Selangor
• Contract Sum: RM46,361,817.00.
• Scope of Works: Construction and completion of building works including infrastructure within and outside lot boundary.

2. RATIONALE AND BENEFIT OF THE TRANSACTION

• The transaction allows LCSB to strengthen its construction order book and leverage its expertise in building works, contributing positively to the revenue and earnings of the Group

5. RISK FACTORS

• The Board does not foresee any other specific risks arising from the Contract other than the construction and operational risks typically associated with projects of this nature.The Board is of the opinion that such risks are manageable and mitigable through the Group’s established project management practices and control measures.

6. INTERESTS OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED

• Dato’ Noor Azman @ Noor Hizam bin Mohd Nurdin, being a major shareholder (99.9999%) and director of LDD, is deemed interested in the Contract.
• Norazmi bin Mohamed Nurdin, being a director of both LDD and related entities within Lebtech, is also deemed interested.
• Accordingly, the above Interested Directors have abstained and will continue to abstain from all deliberations and voting at the relevant Board meetings in respect of the Contract.
• Save as disclosed, none of the other directors or major shareholders of Lebtech and/or persons connected with them have any interest, direct or indirect, in the Contract.

7. RRPT MANDATE

• At Lebtech Berhad’s 23rd AGM held on 4 June 2025, shareholders passed the resolution to renew the RRPT mandate, enabling the Company to transact with related parties on a recurrent, trading-nature basis in accordance with Part E of Chapter 10 of the Main Market Listing Requirements. The mandate will remain in effect until the conclusion of the 2026 AGM, subject to renewal.
