On behalf of the Board of Directors of Rex ("Board"), UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) ("UOBKH") wishes to announce that Rex had on 17 September 2025 entered into a conditional share sale agreement ("SSA") with Darmendran Kunaretnam ("DK" or the "Purchaser") for the following:-

i. the proposed disposal of 20,040 ordinary shares in Rex Canning Co. Sdn Bhd ("RCCSB"), representing 100% equity interest in RCCSB, by Rex to the Purchaser; and

ii. the proposed disposal of 1,000,000 ordinary shares in Rex Trading Sdn Bhd ("RTSB"), representing 100% equity interest in RTSB, by Rex to the Purchaser,

for a total disposal consideration of RM40.00 million to be satisfied entirely via cash ("Disposal Consideration") ("Proposed Disposal").

RCCSB and RTSB are collectively referred to as the "Disposal Subsidiaries".

The Proposed Disposal is deemed as a related party transaction ("RPT") pursuant to Paragraph 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") ("Listing Requirements") by virtue of the interest of the Interested Parties and Interested Directors of the Company as defined and set out in the announcement. Pursuant thereto, the Board (save for the Interested Directors) has appointed SCS Global Advisory (M) Sdn Bhd to act as the independent adviser ("Independent Adviser") to advise the non-interested directors and non-interested shareholders of Rex as to whether the Proposed Disposal is fair and reasonable so far as the non-interested directors and non-interested shareholders of Rex are concerned, and whether the Proposed Disposal is to the detriment of the non-interested shareholders of Rex.
