The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Corporate Exercises. We refer to the earlier announcements dated 26 May 2025, 6 June 2025, 16 July 2025, 29 July 2025, 9 October 2025, 22 October 2025 and 23 October 2025 in relation to the Corporate Exercises. On behalf of the Board, UOBKH is pleased to announce that the conditions precedent of the SSA have been fulfilled and the SSA has turned unconditional. Further, the Company has on 24 October 2025 paid the 1st Tranche Payment to the Vendor. Accordingly, pursuant to Clause 5 of the SSA, completion occurred upon the exchange of the 1st Tranche Payment and release of the relevant share transfer documents. As such, the Acquisition has been completed in accordance with the provisions of the SSA on even date. For information purposes, the Balance Consideration will be paid by the Company on a deferred basis, subject to the Profit Guarantee provisions under the SSA.
