FREE WARRANTS ISSUE OF UP TO 516,040,598 FREE WARRANTS IN MANAGEPAY SYSTEMS BERHAD ("MPAY") ("WARRANT(S)") ON THE BASIS OF 1 WARRANT FOR EVERY 2 EXISTING ORDINARY SHARES IN MPAY ("MPAY SHARES") HELD BY THE SHAREHOLDERS OF MPAY WHOSE NAMES APPEAR IN THE RECORD OF DEPOSITORS OF MPAY AS AT 5.00 P.M. ON 5 NOVEMBER 2025 ("FREE WARRANTS ISSUE")
Each Warrant carries the entitlement to subscribe for 1 new MPay Share at the exercise price of RM0.11 each, and at any time during the exercise period of 3 years ("Exercise Period") subject to the adjustments in accordance with the provisions of the deed poll dated 22 October 2025 constituting the Warrants. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid. If the maturity date of the Warrants falls on a non-market day, then it will fall on the preceding market day. This announcement is dated 12 November 2025.
