The Board of Directors of EcoWorld wishes to announce that SD Guthrie Land Ventures Sdn Bhd (“SDGLV”), Permodalan Darul Ta’zim Sdn Bhd (“PDT”) and EcoWorld had on 19 November 2025 entered into a subscription and shareholders’ agreement (“SSA”) where parties have agreed to participate in Eco Business Park 8 Sdn Bhd (“EBP8SB”) in an agreed proportion. SDGLV is a wholly-owned subsidiary of SD Guthrie Berhad (“SDG”).

EBP8SB is a joint-venture between EcoWorld, SDGLV and PDT to undertake the Proposed Land Acquisition and the Proposed Industrial Development (as defined below).

On the same day, EBP8SB entered into a conditional sale and purchase agreement (“SPA”) with SDG as the vendor. Pursuant to the SPA, EBP8SB shall acquire approximately 935.241 acres of freehold land located in Mukim Kulai, Daerah Kulai, Negeri Johor (“New Land”) for a total cash consideration of RM814,781,881.14 (“Proposed Land Acquisition”). The New Land is proposed to be developed into an integrated industrial development with supporting commercial hubs known as Eco Business Park 8 (“Proposed Industrial Development”).

In conjunction with the above, EcoWorld is proposing to provide financial assistance to EBP8SB to partially fund the Proposed Land Acquisition and the Proposed Industrial Development (“Proposed Provision of Financial Assistance”).
