ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE NON-COLLATERALISED CASH-SETTLED CALL WARRANTS OVER ORDINARY SHARES OF CIMB GROUP HOLDINGS BERHAD ("CIMB") ("CIMB-C1Z")

We refer to the announcement made by CIMB dated 28 November 2025 and our announcement dated 1 December 2025 in relation to the Single-Tier Special Dividend of 7 sen per ordinary share for the financial year ending 31 december 2025 ("Special Dividend").


In accordance with the Second Schedule of the Deed Poll dated 16 May 2024, the terms and conditions of CIMB-C1Z shall not be adjusted as the adjustment amount is less than 2% of the Exercise Ratio and/or Exercise Price being changed.
