The Board of Directors of Ann Joo Resources Berhad (“Ann Joo” or “the Company”, and together with its subsidiaries, the “Group”) wishes to announce that Gurun Heavy Industrial Park Sdn. Bhd. (“GHIP” or the “Landowner”), an indirect subsidiary of the Company, has on 15 December 2025 entered into two (2) joint venture agreements (“JVAs”) with Transyear Sdn. Bhd. (“Transyear” or the “Developer”) to jointly develop:

(i) a freehold land, held under title No. Hakmilik Geran 67225, No. Lot 8072, Bandar Gurun, Daerah Kuala Muda, Negeri Kedah, measuring 392,000 square meters (the “Development Land – Phase 1A”), owned by GHIP, into a development known as Gurun Heavy Industrial Park – Phase 1A (the “Development – Phase 1A”); and

(ii) a portion of freehold land, held under title No. Hakmilik Geran 67221, No. Lot 8071, Bandar Gurun, Daerah Kuala Muda, Negeri Kedah, measuring approximately 445,896 square meters (portion of the title), (the “Development Land – Phase 1B”), owned by GHIP, into a development known as Gurun Heavy Industrial Park – Phase 1B (the “Development – Phase 1B”)
