Reference is made to the Company’s announcement dated 11 December 2024, 10 February 2025, 12 February 2025 and 6 March 2025 in relation to the Proposed Share Capital Reduction.

Unless otherwise defined, the definitions used in this announcement shall have the same meaning as previously defined.

On behalf of the Board, M&A Securities wishes to announce that the Company had on 31 December 2025 received a notice dated 30 December 2025  issued by the Registrar of Companies notifying that on 29 April 2025, all the requirements with respect to reduction of share capital of AEM, has been complied as in stated in the special resolution dated 6 March 2025 (“Notice”).

Pursuant to Section 119(4) of the Act, the Notice shall be conclusive evidence that all the requirements of the Act with respect to the reduction of share capital have been complied with. Accordingly, the Share Capital Reduction takes effect on 30 December 2025.

Following the completion of the Share Capital Reduction, the issued share capital of the Company is RM11,252,676 comprising 216,350,326 AEM Shares.
