1. Introduction

The Board of Directors ("Board") of the Company is pleased to announce that the Board has approved the extension of the ESOS for a further period of five (5) years from 29 June 2026 to 28 June 2031.

2. Extension of ESOS

The Company’s ESOS, which took effect on 29 June 2021, is due to expire on 28 June 2026. Pursuant to By-Law 4.1 of the ESOS By-Laws, the Board has approved the extension of the duration of the ESOS for a further period of five (5) years, from 29 June 2026 up to 28 June 2031.

Save for the extension of the duration, all other terms and conditions of the ESOS shall remain unchanged and continue to be in full force and effect.

3. Status of ESOS

There were no ESOS options allocated, granted and/or exercised since the effective date of the ESOS on 29 June 2021 up to the date of this announcement.

4. Rationale

The extension of the ESOS will enable the Company to continue implementing the ESOS and to reward eligible persons who play a significant role in the long-term growth of the Company and its subsidiaries (the “Group”), as and when applicable.

5. Shareholders’ Approval

The extension of the ESOS is undertaken in accordance with the ESOS By-Laws and does not require shareholders’ approval.

6. Financial Effects

The extension of the ESOS is not expected to have any material effect on the earnings, net assets, gearing or share capital of the Company.

7. Directors’ and Major Shareholders’ Interests

None of the Directors or major shareholders of the Company has any direct or indirect interest in the extension of the ESOS, save for those who may be eligible to participate in the ESOS.
