We refer to the Company’s announcement dated 11 February 2026 in respect of the aforesaid matter.

 

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

 

1) the date of the compound notice served on SMSB;

 

2) the nature of the offence and reason for the compound;

 

3) the source of funds for the payment of the compound; and

 

4) the financial and operational impact of the compound on the Group.

Reference is made to the Company’s announcement made on 11 February 2026, the Board wishes to inform the following additional information:- 

 

1. The date of the compound notice served on SMSB

 

The compound notice was duly served and received by SMSB on 21 January 2026.  

 

2. The nature of the offence and reason for the compound

  • The compound offered pursuant to Section 92(1) of the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (Act 613) ["AMLATFPUAA 2001 (Act 613)"] arises from the same investigation disclosed in the announcement dated 29 September 2025.
  • The investigation relates to alleged offences under Section 4(1) of the AMLATFPUAA 2001 (Act 613) concerning money laundering provisions.
  • The compound was offered by Attorney General Chambers through Royal Malaysia Police as a statutory mechanism under Section 92(1) of the AMLATFPUAA 2001 (Act 613) to resolve the matter without proceeding to prosecution in court.
  • The Company understands that the compound relates to SMSB's 20% shareholder, Mr. Tang Thiam Hock in his personal capacity and does not constitute a criminal conviction against MAYU.

3. The source of funds for the payment of the compound

 

The compound sum was settled through the Group’s internally generated funds.

 

4. The financial and operational impact of the compound on the Group

 

The compound amount of RM24,000,000.00 will be recognized in the financial statements for the relevant financial period in accordance with applicable accounting standards.

 

Save for the financial impact arising from the payment of the compound, the Board does not expect any material adverse impact on the ongoing operations of the Group.
