We refer to the Company’s announcement dated 10 February 2026 in relation to the Proposal Disposal (“Earlier Announcement”)

Unless otherwise stated, all defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcement.

On 10 February 2026, the Board of IWCity, announce that BBDSB, a wholly-owned subsidiary of IWCity, had on even date entered into a binding term sheet in relation to the Proposed Disposal.

The Board wishes to announce that BBDSB and WBSB had on 13 February 2026 entered into a conditional sale and purchase agreement (“SPA”) for the disposal of a piece of leasehold vacant land held under HS(D) 623810, PTD 229047 Mukim of Plentong, District of Johor Bahru, State of Johor measuring approximately 16.426 acres (“Land”) for a cash consideration of Ringgit Malaysia Seventy-One Million Five Hundred Fifty-Two Thousand Six Hundred Thirty-Five (RM 71,552,635.00) only (“Disposal Consideration”).
