Unless otherwise defined, terms used in this announcement shall carry the same meanings as those given to them in the announcements dated 13 March 2025, 17 March 2025, 2 April 2025, 26 September 2025, 19 January 2026 and 5 February 2026 in relation to the Proposed Transfer of Listing.

On behalf of the Board, M&A Securities wishes to announce that Bursa Securities had, vide its letter dated 20 February 2026, resolved to approve the application for the Proposed Withdrawal. 

In this regard, M&A Securities is required to furnish Bursa Securities with a letter ("M&A Securities' Confirmation Letter"), confirming the following: 

(i) that all subsisting undertaking letters provided by the shareholders of Manforce remain valid and enforceable as at the date of M&A Securities' Confirmation Letter until the completion of the Proposed Transfer of Listing;

(ii) that the requirements of Rule 8.06(1) of the LR have been complied with or waived by Bursa Securities, as the case may be;

(iii) that all conditions, including conditions imposed by the relevant authorities which are required to be met prior to the delisting have been met; and

(iv) that there are no circumstances or facts which have the effect of preventing or prohibiting the delisting including any order, injunction or any other directive issued by any court of law.

Further, Manforce is required to announce, 5 clear markets days before the effective date of suspension, the following: 

(i) the trading in Manforce's shares on the LEAP Market of Bursa Securities will be suspended one market day before the date of allotment of the new Manforce shares to be issued pursuant to the Proposed Listing until the completion of the Proposed Listing; and

(ii) the effective date of suspension.
