We refer to the earlier announcements on 8 May 2024, 5 July 2024, 12 July 2024, 2 August 2024, 11 December 2024, 27 December 2024, 16 May 2025 and 26 June 2025 (“Announcements”) as well as the Company’s circular dated 12 December 2024 (“Circular”) in relation to the Land A Disposal. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Announcements and the Circular.
On 8 May 2024, TA Securities, on behalf of the Board, announced that PBHSB, had on even date entered into a conditional sale and purchase agreement (“Land A SPA”) with BDCIV for the Land A Disposal.
On 2 August 2024, TA Securities, on behalf of the Board, announced that PBHSB had entered into a supplemental letter with BDCIV to vary the clauses of the Land A SPA in particular to revise the date of the approval of PGB’s shareholders to be obtained on or before 31 December 2024 for the Land A Disposal and to revise the terms of payment for Land A Disposal Consideration.
On 27 December 2024, the Board announced that PBHSB, had obtained the approval of PGB’s shareholders for the Land A Disposal.
On 16 May 2025, TA Securities, on behalf of the Board, announced that PBHSB, had entered into a second supplemental letter with BDCIV to amend the mutually agreed provisions relating to the Land A Conditions Precedent and to impose Second Land A SPA Variations.
On 26 June 2025, TA Securities, on behalf of the Board, announced that PBHSB, had entered into a third supplemental letter with BDCIV to further amend the mutually agreed provisions relating to the Land A Conditions Precedent and to impose Third Land A SPA Variations.
The Board wishes to announce that it has resolved to approve a variation in the utilisation of proceeds raised from the Land A Disposal (“Land A Variation”) in accordance with the Listing Requirements of the Bursa Securities.
