CONDITIONAL MANDATORY TAKE-OVER OFFER BY QUATTRINI HOLDINGS SDN. BHD. ("OFFEROR") THROUGH RHB INVESTMENT BANK BERHAD TO ACQUIRE ALL THE REMAINING ORDINARY SHARES IN TIMBERWELL ("SHARES") NOT ALREADY OWNED BY THE OFFEROR, WONG WAI FOO ("ULTIMATE OFFEROR") AND THE PERSON ACTING IN CONCERT WITH THEM ("OFFER SHARES") FOR A CASH OFFER PRICE OF RM0.90 FOR EACH OFFER SHARE ("OFFER")
 
Pursuant to Paragraph 19.05(1) of the Rules on Take-overs, Mergers and Compulsory Acquisitions, the Company wishes to announce that the Ultimate Offeror, Wong Wai Foo, and the substantial shareholder of the Company, Datuk Yap Pak Leong, have dealt in the Shares as set out below:
