The Board of Directors of KJTS wishes to announce that KJ Technical Services Sdn. Bhd. (“KJTS SB”), a wholly-owned subsidiary of KJTS in Malaysia, had, on 5 March 2026, entered into a Share Sale and Purchase Agreement (“SSPA”) with Corellia Holdings I Sdn. Bhd., Aaron C. Patel and Christopher Zhong Yi Lim (“Warrantors”), to acquire 16,714,726 redeemable and convertible preference shares B in iHandal Holdings Sdn. Bhd. (“IHSB”) in issue, which will be converted into ordinary shares in IHSB, representing 70.67% equity interest in IHSB, for a total cash consideration of RM10,100,000.00.

In connection with the Proposed Acquisition, KJTS SB had also, on 5 March 2026, entered into a Shareholders’ Agreement (“SHA”) with the existing ordinary shareholders of IHSB, who include the Warrantors and Law Wei Loon, to regulate the affairs of IHSB and the respective rights of KJTS SB and the existing shareholders, as shareholders of IHSB.

Upon completion of the Proposed Acquisition, IHSB will become a 70.67% owned subsidiary of KJTS SB, which in turn will be an indirect subsidiary of KJTS.
