Pursuant to Paragraph 9.19(51) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Dialog Group Berhad ("DIALOG" or “Company”) wishes to announce the details of the offer of ordinary shares of the Company under the existing Employees’ Share Option Scheme (“ESOS”) to the employees and executive directors of DIALOG Group as follows:

Exercise Price of Options Offered

Number of Options Offered

 102,393,600

Market Price of DIALOG's Ordinary Shares on the Date of the Offer (based on the midday closing price at 12.30 p.m.)

Number of Options Offered to each Director

 Tan Sri Dr Ngau Boon Keat – 6,424,000

 Chan Yew Kai – 3,990,000

 Zainab Binti Mohd Salleh – 2,600,000

 Ngau Wu Wei – 2,600,000

Vesting Period of the Options Offered

 Financial Year Ending 2026 – 30% of total Offer

 Financial Year Ending 2027 – 30% of total Offer

 Financial Year Ending 2028 – 40% of total Offer
