The Board of Directors of Topmix ("Board") wishes to announce that Topmix Resources Sdn. Bhd. [Registration No. 200601018697 (738450-T)] ("TRSB" or the "Vendor"), a wholly owned subsidiary of the Company, had on 6 April 2026, entered into a Sale and Purchase Agreement ("SPA") with PMI Packaging Sdn. Bhd. [Registration No. 201301015164 (1044997-X)] ("PPSB" or the "Purchaser") for the disposal of a piece of land held under HS(D) 58359 PTD 103154 Mukim Senai, District of Kulaijaya, State of Johor containing an area measuring approximately 0.0993 hectares together with a 1 1/2 storey semi-detached factory which is located at No. 573, Jalan Idaman 3/7, Taman Perindustrian Senai, 81400 Senai, Johor ("Said Property") for a total cash consideration of RM1,850,000 (Ringgit Malaysia One Million Eight Hundred and Fifty Thousand only) ("Sale Consideration"), subject to and upon all the terms and conditions as stipulated in the SPA ("Proposed Disposal").

TRSB and PPSB are, collectively, the "Parties".

Topmix and its subsidiaries shall hereinafter be referred to as "Topmix Group" or the "Group".
