Further to the Company's announcement dated 13 April 2026 entered into a joint venture agreement with Madyna Global LLC ("MADYNA") ("JVA"). SMTrack and MADYNA ("Parties") have agreed to incorporate a joint venture company ("SPV") to undertake the acquisition of Gold Moon DTT LLC ("Gold Moon DTT"), the Board of Directors of SMTrack ("Board") wishes to furnish the following information for the public's consumption:
- As at to-date, Mr. Chinzorig Lkhadorj is the sole director and shareholder of Gold Moon DDT LLC.
- The Company is unable to estimate the financial investment required for now. The estimation will only be available upon obtaining a fair valuation report of Gold Moon from an independent Valuer.
- The Company will provide full details of Gold moon upon execution of a definitive agreement.
In addition, the proposed venture is subject to a satisfactory legal and financial due diligence to be carried out.
