PRIVATE PLACEMENT OF UP TO 10% OF THE TOTAL NUMBER OF ISSUED SHARES OF MAGMA (EXCLUDING TREASURY SHARES, IF ANY) ("PRIVATE PLACEMENT")

We refer to the announcements made on 5 December 2025, 8 December 2025, 18 December 2025, 7 January 2026, 20 February 2026, 26 February 2026 and 27 February 2026 in relation to the Private Placement ("Announcements"). Unless otherwise defined, the definition set out in the Announcements shall apply herein.

 

On behalf of the Board, Kenanga IB wishes to announce that the Board had on 17 April 2026 resolved to fix the issue price for the Private Placement at RM0.265 per Placement Share.

 

The issue price of RM0.265 per Placement Share represents a discount of approximately RM0.027 or 9.25% to the 5-day VWAMP of Magma Shares up to and including 16 April 2026, being the latest traded day of Magma Shares immediately before the price-fixing date, of RM0.292 per Magma Share.
