(III)	PROPOSED PRIVATE PLACEMENT

(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

For consistency purposes, the abbreviations used throughout this announcement shall have the same meanings as defined in the circular to shareholders dated 30 January 2026 in relation to the Proposals, where applicable, unless stated otherwise or defined herein.

 

Reference is made to the Company's announcements dated 20 February 2025, 11 April 2025, 20 June 2025, 23 June 2025, 14 October 2025, 19 January 2026, 30 January 2026, 3 March 2026 and 18 March 2026 in relation to the Proposals.

 

On behalf of the Board, Berjaya Securities wishes to announce that the Vision Consideration Shares have been allotted and issued to the Vision Vendors on 22 April 2026. Following thereto, the Proposed Vision Acquisition has been completed in accordance with the terms and conditions of the Vision SSA on 22 April 2026. The Vision Consideration Shares will be listed and quoted on the Main Market of Bursa Securities on 24 April 2026.

 

On a separate note, the Company and the Unilink Vendors have mutually agreed to extend the period for the fulfilment of the Unilink Conditions Precedent up to 19 June 2026.
