The Board of Directors of IRIS Group Berhad ("IRIS") wishes to announce that IRIS International Ventures Sdn Bhd (formerly known as Thetris ISS Sdn Bhd) ("IIVSB" or "the Service Provider"), a wholly-owned subsidiary of the Company, has on 30 April 2026 entered into a Software-as-a-Service ("SaaS") agreement ("SaaS Agreement or Agreement") with Port City BPO (Pvt) Ltd ("PCBPO" or "the Subscriber") ("Transaction").

The above Transaction is a related party transaction pursuant to Rule 10.08 of the ACE Market Listing Requirements ("Listing Requirements") of Bursa Malaysia Securities Berhad ("Bursa Securities") by virtue of common shareholding and common directorship in IRIS and PCBPO as disclosed in Section 11 of this announcement.
