Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the announcement dated 16 October 2025 in relation to the DA.

The Board of Directors of the Company wishes to announce that ACSB had, on 30 April 2026 entered into a Deed of Revocation ("Deed") with GUSB to revoke and rescind the DA.

The DA was revoked and rescinded by mutual agreement in view of the non-fulfilment of conditions precedent, i.e. unsatisfactory due diligence due to the inability to obtain the relevant development approval for the Land.

Upon the execution of the Deed by the Parties, the DA shall be revoked, terminated and be null and void and the Parties irrevocably agree, consent and undertake as follows:-

1. the Parties shall release each other from (i) all obligations, observance and performance of all covenants and terms set forth in the DA; and (ii) all claims, demands, actions, causes of action, liabilities, losses and damages, whether known or unknown, actual or contingent, present or future, arising out of or in connection with the DA or the termination thereof; and

2. neither Party hereto shall have any claim whatsoever against the other or any other person in respect of and under the DA and/or in respect of and/or pertaining to the Project.
