We refer to the announcement dated 27 March 2026 in relation to the Proposed Acquisition. Unless otherwise defined, the definitions set out in the announcement dated 27 March 2026 shall apply herein.
The Board wishes to announce that both the Company and AJRB have mutually agreed to terminate the HOA after taking into consideration the regulatory approval required for the Proposed Acquisition and the uncertainty as to whether the relevant approval process can be completed within a timeframe acceptable to the parties.
Accordingly, the HOA is no longer in force and the parties will not be entering into any definitive agreement on the Proposed Acquisition. Further, both parties will have no claims whatsoever against each other arising from or in connection with the HOA after the mutual termination.
The termination of the HOA will not have any material effect on the earnings, net assets and gearing of SSB Group for the financial year ending 30 September 2026.
The Board, after having considered all aspects of the termination of the HOA, is of the opinion that the termination of the HOA is in the best interest of the Company.
