| Subject | Circular to Shareholders in relation to the: (i) Proposed Acquisition by Rivertree STF Synergies Berhad (formerly known as Sinmah Capital Berhad) ("RSSB") of 33,100,000 Ordinary Shares in Rivertree Landmark Sdn Bhd ("RLSB"), representing 100% equity interest in RLSB from Dato' Leong Sai Mun, Soon Kian Cheong, Ong Choong Leo, Choong Yoke Far and Benjamin Fong Hian Boon, for a purchase consideration of RM32,717,000 to be satisfied entirely via cash; (ii) Proposed Acquisition by RSSB of 2,000,000 Ordinary Shares in Rivertree Signatures Sdn Bhd ("Rivertree Signatures"), representing 100% equity interest in Rivertree Signatures from Dato' Leong Sai Mun and Choong Yoke Far for a purchase consideration of RM13,571,000 to be satisfied entirely via cash; and (iii) Proposed Disposal by RSSB of 250,000 Ordinary Shares in Irama Setia Sdn Bhd ("ISSB") (which shall be enlarged to 14,685,276 ordinary shares upon completion of the capitalisation and internal restructuring of ISSB), representing 100% equity interest in ISSB to Datuk Seri Rahadian Mahmud bin Mohammad Khalil for a disposal consideration of RM12,972,000 to be satisfied entirely via cash |
