The Board of Directors of Malaysia Marine and Heavy Engineering Holdings Berhad ("MHB") wishes to announce that its wholly-owned and major subsidiary, Malaysia Marine and Heavy Engineering Sdn. Bhd.("MMHE"), has approved the commencement of the members' voluntary winding-up of MMHE-TPGM Sdn. Bhd. ("MMHE-TPGM") and MMHE EPIC Marine & Services Sdn. Bhd. ("MEMS"), both dormant joint venture companies in which MMHE holds equity interests of 60% and 70%, respectively.
The members of MMHE-TPGM and MEMS have, on 10 August 2026, passed the requisite resolutions approving the members' voluntary winding-up of the respective companies and the appointment of the following liquidators to carry out the winding-up process:
MMHE-TPGM: Puan Haniza Sabaran & Ms Lee Leng Yen
MEMS: Puan Haniza Sabaran & Puan Safura Akil
MMHE-TPGM and MEMS have ceased business operations, are currently dormant, and do not intend to carry on business or operations in the future. The winding-up of MMHE-TPGM and MEMS will enable MHB Group to streamline its operations and optimise resource utilisation.
The members' voluntary winding-up of MMHE-TPGM and MEMS is not expected to have any material impact on the net assets per share, earnings per share, or gearing of MHB for the financial year ending 31 December 2026.
None of the Directors, substantial shareholders of MHB, or persons connected with them have any direct or indirect interest in the members' voluntary winding up of MMHE-TPGM and MEMS.
