Reference is made to the announcements dated 2 December 2025, 3 December 2025, 9 December 2025, 30 December 2025, 21 April 2026 and 21 July 2026 pertaining to the subject matter. For consistency purposes, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the announcements unless otherwise defined herein.
The Board of Directors of the Company wishes to inform that the Company has received a Statement of Claim dated 11 August 2026 on 12 August 2026 ("Legal Suit").
In the Legal Suit, the Plaintiffs are seeking a declaration that the 1st, 2nd, 3rd and 4th Defendants, or any one of them, whether jointly and severally:
- have conducted the affairs of the 5th Defendant in a manner that is oppressive to and/or in disregard of the Plaintiffs' interest as members of the 5th Defendant; and
- have procured and/or caused to be done and/or threatening to procure or cause to be done to the Plaintiffs which has discriminated and/or will unfairly discriminate against or which is or will be prejudicial to the Plaintiffs as members of the 5th Defendant.
Consequent to the above, such orders as may be obtained from the court for the purposes of remedying the oppression complained therein, including but not limited to the following:
- that the Plaintiffs shall sell all their shares in the 5th Defendant ("Plaintiffs' Shares") and the 1st, 2nd, 3rd and 4th Defendants, shall jointly and severally purchase all of the Plaintiffs' Shares at a purchase price ("Purchase Price") equivalent to the fair value to be determined by an independent valuer appointed by this Honourable Court;
- that the Court to appoint an independent valuer to value the shares of the 5th Defendant as well as the Purchase Price for the Plaintiffs' Shares and the independent valuer shall submit its Independent Valuation Report to this Honourable Court, the Plaintiffs and the 1st, 2nd, 3rd and 4th Defendants WITHIN 90 DAYS from the date of this Order or such extended period as may be agreed by the Plaintiffs;
- that the valuation to be undertaken by the independent valuer appointed by this Honourable Court shall be for the value of the shares in the 5th Defendant as well as the Purchase Price for the Plaintiffs' Shares as at 23/9/2024;
- that the 1st, 2nd, 3rd and 4th Defendants shall jointly and severally pay the Purchase Price in full to the Plaintiffs WITHIN 30 DAYS from the date of the independent valuer having submitted its Independent Valuation Report to this Honourable Court;
- that the Plaintiffs execute the share transfer forms and such other relevant documents ("Transfer Documents") as shall be necessary to transfer the Plaintiffs' Shares to the 1st, 2nd, 3rd and 4th Defendants (or any one or more of them as they may so decide themselves) WITHIN 14 DAYS from the date of receipt of the Purchase Price in full by the Plaintiffs or the date of the Plaintiffs' receipt of the Transfer Documents to be prepared by the 5th Defendant, which date is the later;
- all legals fees, stamp duties, registration fees and all costs and expenses incidental to the transfer of the Plaintiffs' Shares to the 1st, 2nd, 3rd and 4th Defendants (or any one or more of them as they may so decide themselves) shall be wholly borne by the 1st, 2nd, 3rd and 4th Defendants;
- an order that all the Defendants jointly and severally at their own costs and expenses do cause all the relevant financial institution(s) to discharge all the Plaintiffs' assets/properties and to release all the Plaintiffs' and/or Ng Kui Lang's personal guarantees given for all the banking, loan and/or trade facilities of the 5th Defendant WITHIN 90 DAYS from the date of this Order or such extended period as may be agreed by the Plaintiffs;
("the Buy-Out Order")
- in alternative to the Buy-Out Order, an order that the 5th Defendant be wound up and the official receiver is appointed as the liquidator of the 5th Defendant;
- that an inquiry into the damages suffered by the Plaintiffs to be carried out;
- that the Plaintiffs and the 1st, 2nd, 3rd, and 4th Defendants are given liberty to apply;
- an order that the 1st, 2nd, 3rd, and 4th Defendants jointly and severally, pay the costs of this action; and
- any further reliefs and/or order this Honourable Court deems fit and/or otherwise appropriate.
The Case Management of the Legal Suit has been scheduled on 26 August 2026 via e-Review.
The Company has instructed its solicitors to review the statement of claim in detail and advise on the next course of action to be taken in due course. The Company intends to file a defence against the claim.
The Company will make further announcements from time to time in respect of any material development of the Legal Suit.
