We refer to the announcement dated 15 June 2026 ("Announcement") and the Company's circular to shareholders dated 24 August 2026 ("Circular") in relation to the Proposed Acquisition. Unless otherwise defined, the definitions set out in the Announcement and the Circular shall apply herein.

On behalf of the Board, Kenanga IB wishes to announce that all Conditions Precedent pursuant to the SPA and DPA have been fulfilled on 2 October 2026 and, accordingly, the SPA and DPA became unconditional on even date.
