To approve the proposed share subscription in Excel Commerce Solutions Sdn Bhd ("Excel"), a 51.0%-owned subsidiary of Divfex Berhad ("DFX"), by Prospek Teknik Sdn Bhd and Doyes Engineering Sdn Bhd for 60,000 new ordinary shares ("Subscription Share(s)") representing 5.66% of the enlarged equity interest in Excel for a subscription price of RM1.20 million or RM20 per Subscription Share to be satisfied entirely via cash ("Proposed Subscription")

To approve the continued provision of financial assistance by DFX to Excel, comprising the existing corporate guarantees provided by DFX to Excel, upon Excel becoming a 48.11%-owned associate company of DFX after the completion of the Proposed Subscription.
