ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBR OF OUTSTANDING WARRANTS 2021/2026 OF FAST ENERGY HOLDINGS BERHAD ("FEHB" OR THE "COMPANY") ("WARRANT(S) A") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 28 OCTOBER 2021 CONSTITUTING THE WARRANTS A ("DEED POLL A") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 242,192,937 NEW ORDINARY SHARES IN FEHB ("FEHB SHARE(S)" OR "SHARE(S)") ("RIGHTS SHARE(S)") AT THE ISSUE PRICE OF RM0.09 PER RIGHTS SHARE, ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 1 EXISTING FEHB SHARE HELD, TOGETHER WITH UP TO 121,096,468 FREE DETACHABLE WARRANTS IN FEHB ("WARRANT(S) B") ON THE BASIS OF 1 WARRANT B FOR EVERY 2 RIGHTS SHARES SUBSCRIBED FOR, AS AT 5.00 P.M. ON WEDNESDAY, 31 JANUARY 2024 ("RIGHTS ISSUE WITH WARRANTS") ("ADJUSTMENTS")

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 30 Jan 2024
2) The last date of lodgment : 31 Jan 2024

Remarks :

The Notice of Book Closure in relation to the Rights Issue with Warrants had been announced by the Company separately today.

Holders of outstanding Warrants A ("Warrant A Holders") who wish to be entitled to the Rights Shares with Warrants B should exercise their Warrants A into new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, ShareWorks Sdn Bhd, on or before 5.00 p.m. on 23 January 2024. This is to enable the new Shares arising from such exercise to be allotted to the respective Warrant A Holders such that their names will appear on the Record of Depositors of the Company by 5.00 p.m. on 31 January 2024.

The Warrant A Holders who have not exercised their outstanding Warrants A by 5.00 p.m. on 23 January 2024 and whose names appear in the Record of Depositors for the outstanding Warrants A as at 5.00 p.m. on 31 January 2024 would be entitled to the Adjustments.

The entitlement ratio indicated above is for illustration only based on the Maximum Additional Warrants A Scenario as set out in the circular to shareholders of the Company in relation to, amongst others, the Rights Issue with Warrants dated 27 September 2023. The actual number of additional Warrants A to be issued and the adjusted exercise price of the Warrants A pursuant to the Adjustments shall be finalised at a later date prior to the listing and quotation of the Rights Shares with Warrants B on the ACE Market of Bursa Malaysia Securities Berhad.

The additional Warrants A will be listed and quoted simultaneously with the Rights Shares and Warrants B. The notice to Warrant A Holders (setting out details of the Adjustments) and the notice of allotment for the additional Warrants A will be despatched in due course.
