Reference is made to the Company’s announcements dated 22 October 2024, 9 December 2024, 10 December 2024 and 6 January 2025 in relation to the Capital Reduction (“Announcements”). Unless otherwise defined, the definitions used in this announcement shall have the same meaning as previously defined in the Announcements.

On behalf of the Board, M & A Securities wishes to announce that the Company has not received any application under Section 118(2) of the Act for the cancellation of the special resolution passed at the EGM held on 6 January 2025 for the Capital Reduction. Pursuant thereto, the Company had lodged the relevant documents as required under Section 119(1) of the Act with the Registrar of Companies, and subsequently on 25 February 2025, received a notice dated 24 February 2025 issued by the Registrar of Companies confirming the reduction of share capital (“Notice”).

Pursuant to Section 119(4) of the Act, the Notice shall be conclusive evidence that all the requirements of the Act with respect to the reduction of share capital have been complied with. Accordingly, the Capital Reduction takes effect on 24 February 2025.

Following the completion of the Capital Reduction, the issued share capital of the Company is RM50,985,268 comprising 211,159,233 Gocean Shares.
