- REPLY TO QUERY FROM BURSA MALAYSIA SECURITIES BERHAD ("BURSA SECURITIES") DATED 20 JUNE 2025 PERTAINING TO THE PROPOSED ACQUISITION OF BUSINESS AND ASSETS BY DELEUM OILFIELD SOLUTIONS (THAILAND) CO., LTD. FROM MPC FUTURE CO., LTD.

We refer to your Company’s announcement dated 16 June 2025 in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1. salient terms and conditions of the preference shares to be issued by DOST.

2. brief details of the major contracts, call-out work arrangements and agreements owned by or under the control or in the possession of MPC and used in the conduct of the Target Business to be acquired.

3. total consideration payable by DSSB to subscribe for the ordinary shares and preference shares in DOST.

4. basis of arriving at the aggregate consideration of RM60 million.

5. justifications for the aggregate consideration of RM60 million.

6. details of the “obligations arising from and in connection with the SPA, SSA and other agreements” and to specify “other agreements”.

7. effects of the Proposed Transaction on the earnings per share of DELEUM.
