1. INTRODUCTION

1.1 Pursuant to paragraph 9.03 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, Telekom Malaysia Berhad (TM) wishes to announce that on 24 February 2026, U Mobile Sdn Bhd (U Mobile) has accepted the letter of award for the provision of 5G MOCN services (Award) from TM Technology Services Sdn Bhd, a wholly owned subsidiary  of TM.

1.2 The Award is consistent with Malaysia’s 5G dual network framework, which is designed to enhance competition, efficiency and resilience within the national 5G ecosystem.

1.3 Concurrently, TM had on 24 February 2026, exercised its contractual rights under the Access Agreement (AA) with Digital Nasional Berhad (DNB) dated 30 October 2022, and issued a notice to DNB and the Malaysian Communications and Multimedia Commission (MCMC) to terminate the AA (AA Termination), in accordance with the terms of the AA. The AA Termination is subject to regulatory consent.

1.4 The transition of 5G services will be implemented smoothly to ensure service continuity for customers.

2. SALIENT TERMS OF THE AWARD

2.1 The salient terms of the Award, are inter alia as follows:

(a) The Award relates to the provisioning, integration, activation, testing, optimisation and billing of 5G MOCN services (Services). The value of the Award would be based on usage, rates, and other agreed parameters, as stipulated in the Award;

(b) U Mobile will provide the Services to TM for a period of three (3) years, which will commence upon achievement of agreed milestone;

(c) The Award contains customary provisions including rights to terminate for breach of contract and confidentiality; and

(d) U Mobile will make available to TM the Services and TM will pay for the Services rendered.

2.2 The arrangements under the Award do not require the approval of TM’s shareholders.

3. FINANCIAL EFFECTS

3.1 Share Capital and Substantial Shareholders’ Shareholdings

      The Award and AA Termination will not have any effect on the issued share capital of TM and its substantial shareholders’ shareholdings.

3.2 Earnings and Net Assets

      The Award and AA Termination are not expected to have any material effect to the earnings and net assets of TM Group for the financial year ending 31 December 2026.

4. DIRECTORS AND MAJOR SHAREHOLDERS’ INTERESTS

4.1 None of the Directors and/or major shareholders or persons connected to the Directors or major shareholders of TM have any direct or indirect interest in the Award.
